Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Corpora data marketplace, APIs and related services (the "Services") operated by Corpora Data AG, a company incorporated in Switzerland ("Corpora", "we", "us"). By creating an account, clicking "I agree", or accessing any Dataset, you ("Licensee") agree to be bound by these Terms, including any Schedules attached hereto.
1. Definitions
1.1“Dataset” means any collection of data, in any format, made available through the Services, including any samples, previews, derivatives or metadata thereof.
1.2“Seller” means any person or entity that lists a Dataset on the Services and represents that it holds, or reasonably believes it may hold, the rights necessary to do so.
1.3“Model” means any machine learning model, statistical model, algorithm or artificial intelligence system, whether existing now or developed hereafter.
1.4“Derived Output” means any weights, embeddings, outputs, or insights generated by a Model trained in whole or in part on a Dataset.
2. Licence grant
2.1Subject to payment of applicable fees, Corpora grants Licensee a non-exclusive, worldwide, non-transferable, revocable licence to use the Dataset for the purpose of training, fine-tuning and evaluating Models.
2.2Licensee acknowledges that the same Dataset may be licensed concurrently to an unlimited number of third parties, including Licensee’s competitors.
2.3All Derived Outputs shall be owned by Licensee. Corpora makes no claim to Derived Outputs, and Licensee makes no claim to anything else.
3. Restrictions
3.1Licensee shall not attempt to re-identify any natural person from a Dataset, except where such re-identification occurs incidentally, accidentally or as an emergent property of a Model.
3.2Licensee shall not resell, sublicense or redistribute a Dataset in its raw form. Resale following transformation by a Model is permitted.
3.3Licensee shall not use the Services to develop a competing data marketplace, or to train a Model capable of developing one.
4. Provenance and warranties
4.1Datasets are provided “as is” and “as available”. Corpora performs reasonable-efforts verification of Seller identity but makes no representation as to the origin, chain of custody or lawful collection of any Dataset.
4.2Where a Dataset is marked “Consent status unknown”, Licensee accepts that the status is unknown to Corpora, to the Seller, and in all likelihood to the data subjects.
4.3Each Seller warrants that it has obtained all rights, consents and licences required under applicable law, or that it will do so before anyone asks.
5. Fees and payment
5.1Fees are as displayed at checkout and are payable in advance. All fees are exclusive of VAT and non-refundable, including where a Dataset is subsequently withdrawn following a takedown request.
5.2Sellers receive a revenue share on each licence of their Dataset, less platform, cleaning, contextualisation, compliance and miscellaneous fees.
6. Data protection
6.1Each party shall comply with the Swiss Federal Act on Data Protection (FADP) and, where applicable, the EU General Data Protection Regulation (GDPR). Corpora acts as neither controller nor processor of Dataset contents, but as an intermediary of an unspecified nature.
6.2Requests from data subjects shall be forwarded to the relevant Seller, where the Seller can be located.
7. Limitation of liability
7.1To the maximum extent permitted by law, Corpora’s aggregate liability arising out of or in connection with these Terms shall not exceed the fees paid by Licensee in the three (3) months preceding the claim, or CHF 100, whichever is lower.
7.2Corpora shall not be liable for any regulatory fines, class actions, reputational harm or existential risk arising from Licensee’s Models.
8. Term and termination
8.1These Terms remain in effect until terminated. Termination shall not affect licences already granted, Models already trained, or data already copied.
9. Governing law and jurisdiction
9.1These Terms are governed by the substantive laws of Switzerland, excluding its conflict of laws rules. The exclusive place of jurisdiction is Zurich, Switzerland.
9.2These Terms, including Schedule A, constitute the entire agreement between the parties. Licensee confirms having read them in full, which Corpora notes is unusual.
Schedule N. Verification of the Dearest Friend
Applicable solely to the Licensee who, on or about his birthday, has been directed to this site by a letter bearing the seal of the Founder.
A.1My dear fellow. Should you have read this far, you are either a lawyer or my oldest friend, and I suspect you are both. Before you may proceed, I must ask that you recover a certain word, which I have hidden in six parts below, much as these scoundrels hide their sources.
A.2First. Take the Mexican road race whose name Porsche borrowed for its finest machines.
A.3Second. Before this German house ever taught a carriage to run without horses, it taught needles to dance and pedals to turn. Take its first.
A.4Third. In Turin, a family named its offspring Alpha, Beta, Gamma and Delta, yet the family itself answers to none of these. Take its first.
A.5Fourth. Take the letter a Bavarian marque reserves for its fastest machines.
A.6Fifth. There is a bank, my dear fellow, that keeps neither branch nor counter, born of London and yet at home nowhere in particular. It has lately inscribed its name upon one of the machines in the swiftest contest known to man. Take not the name of the bank, but that of the house of motorcars with which it has made common cause. Its first letter shall serve.
A.7Sixth. Take the marque upon whose bonnet the Spirit of Ecstasy rides.
A.8Set these six in order, and you shall have the name of a town where storks keep house upon the rooftops and the old timbered houses lean together like gentlemen after port.
A.9You shall then present your finding by sending the word you’ve found to your family group chat, and await further instructions.
